Article I. Name.
The name of this Association is Lower Polk Neighbors, Inc.

Article II. Mission Statement.
The purpose of the Lower Polk Neighbors is to address Lower Polk Street area public issues concerning crime, cleanliness, and beautification and to make visible our community of residents, businesses, and interested citizens.

Article III. Boundaries.
Properties within the boundaries of the Lower Polk Neighbors include those from the east side of Hyde Street to the west side of Van Ness Avenue and from the north side of Sacramento Street to the south side of Ellis Street.

Article IV. Membership.
Section 1. Membership is open to all persons who support the purpose of the Association and who either (a) reside in Lower Polk, (b) own a business or property in Lower Polk, c) are employed there, or d) are citizens of San Francisco interested in neighborhood issues.
Section 2. Membership may be suspended or revoked for cause by a vote of the membership.

Article V. Dues.
Section 1. Annual dues shall be $10 for individuals and nonprofit organizations and $25 for businesses.
Section 2. Dues shall be paid by or at the January general meeting.
Section 3. Dues may be suspended in cases of financial hardship by a vote of the officers.
Section 4. Dues shall be deposited into the Association's bank account. Checks may be written and endorsed only by the treasurer.

Article VI. Officers.
Section 1. Each year in November the Association shall nominate candidates for the following offices: (a) chairman; (b) co-chairman; (c) secretary; (d) treasurer.
Section 2. Elections will be held in December by the Association.
Section 3. The term of office for each of these officers shall be one year, to begin at their election, and to cease immediately upon election of their successors.
Section 4. Officers may be recalled for cause before expiration of their terms by a vote of the membership.

Article VII. Committees.
Section 1. In addition to electing officers, the Association shall establish various permanent and temporary committees to carry out its business. Permanent committees shall include the Community Action Committee and the Neighborhood Beautification Committee.
Section 2. An Executive Committee made up of the officers and the chairs of each committee shall set the agenda for general meetings.

Article VIII. Meetings.
Section 1. The Association distinguishes two kinds of meetings: (a) general meetings and (b) committee meetings.
Section 2. General meetings are the only meetings at which the official business of the Association may be conducted.
Section 3. All general and committee meetings are held monthly.
Section 4. Occasional weekend meetings will be held to allow participation by those unable to attend weekday meetings.

Amendment I. Voting.
Section 1. Any member who wishes to have any matter heard and voted on by the membership in attendance at any general meeting of the Association shall submit the same in writing to the Secretary no later than 30 days prior to the general meeting, so that the matter may be reviewed by the Executive Committee and published in the general meeting announcement draft agenda. The Committee may make any recommendations it finds necessary.
Section 2. The voting procedure shall be as follows: A motion will be made and must be seconded to go to vote. Once discussion is concluded the motion may be voted on by voice. If a voice vote is indeterminate, then voting will be done by a show of hands. A simple majority is required for passage.
